1. Read this first
This is a contract between you and QUBE US INC (“Qube”, “we”, “us”). By downloading, installing, or using the Qube app (the “App”), you agree to it.
Three things are more important than the rest:
- Qube is not a bank and does not hold your money. Money transmission is provided by Bridge Building Inc., NMLS # 2450917. See Section 3.
- Digital asset transactions are irreversible. There are no chargebacks, no reversals, and no recovery of funds sent to the wrong place. See Section 13.
- Section 24 requires most disputes to go to individual arbitration and waives your right to a jury trial and to participate in a class action. You may opt out within 30 days. See Section 24.
If you do not agree, do not use the App.
Effective date: October 14, 2026
2. Definitions
- “App” means the Qube iOS application and any updates.
- “Bridge” means Bridge Building Inc., NMLS # 2450917.
- “Digital Asset” means a stablecoin or other cryptographic token supported in the App.
- “Fiat Payout” means the transfer of United States dollars to a bank account you designate.
- “Services” means the App and the technology services Qube provides.
- “Transfer” means an instruction you submit through the App to move value from one party to another within the United States.
- “You” means the individual accepting this agreement.
3. What Qube is, and what Qube is not
Qube is a technology interface. Qube builds and operates software that lets you initiate transfers, view status, and manage your account.
Qube is not:
- a bank or depository institution
- a licensed money transmitter
- a custodian of your funds
- a broker, dealer, investment adviser, or exchange
- a fiduciary to you
Money transmission services for United States residents are provided by Bridge Building Inc., NMLS # 2450917. Qube acts as an authorized delegate or agent of Bridge. Bridge holds customer funds, executes transfers, and holds the licenses under which the service operates. State licensing information is available at www.nmlsconsumeraccess.org and at https://www.bridge.xyz/legal/licenses/us-licenses-and-registrations.
You must also accept Bridge’s terms. Before you can transact, you will be asked to accept Bridge’s United States Terms of Service (https://www.bridge.xyz/legal/us-terms/bridge-building-inc), Bridge’s United States Privacy Policy (https://www.bridge.xyz/legal/us-privacy-policy/bridge-building-inc), Bridge’s Fee Disclosure Statement (https://www.bridge.xyz/legal/fee-disclosure-statement/overview), and Bridge’s E-Sign Consent Disclosure (https://www.bridge.xyz/legal/e-sign-consent-disclosure). Those are separate contracts between you and Bridge. Where they conflict with these Terms on matters of money transmission, custody, or funds, Bridge’s terms control.
Funds are not insured. Digital Assets are not legal tender, are not backed by the United States government, and are not covered by Federal Deposit Insurance Corporation (FDIC) insurance, National Credit Union Administration (NCUA) insurance, or Securities Investor Protection Corporation (SIPC) protection. See Section 14.
4. Eligibility and supported locations
To use Qube you must:
- be at least 18 years old
- be a natural person acting on your own behalf, not a business or on behalf of another person
- be a resident of the United States, with a residential address in a supported jurisdiction
- have the legal capacity to enter this agreement
- not be a person or entity subject to sanctions administered by the Office of Foreign Assets Control (OFAC), or located in an embargoed jurisdiction, or on any United States government denied-party or prohibited-party list
- not have been previously suspended or removed from the Services
Supported jurisdictions. The Services are available only where Bridge holds the licenses and permissions required for the specific activity you are performing. Bridge currently operates under MSB and MTL licenses in 48 US states. New York is not supported (pending Bridge’s NY Trust charter approval). Florida and Louisiana are supported. The current list is published at https://www.qubeus.com/legal/supported-states and may change without notice. If your state is not supported, we cannot open your account.
Virginia. Bridge’s Virginia money transmitter license does not cover the transmission of virtual currency. Digital Asset functionality may not be available to Virginia residents even though fiat functionality is.
5. Your account
Registration. You must provide accurate, current, and complete information and keep it updated. You may hold only one account.
Identity verification. Before you can transact, you must complete identity verification. Verification is arranged by Bridge and performed by Bridge’s identity verification provider within that provider’s own flow. Qube does not conduct the verification and does not make the approval decision. By starting verification you agree to the provider’s terms and privacy policy, which are presented to you within that flow. Verification may be repeated at any time, and additional information or documentation may be requested at any time. Approval is not guaranteed, and reasons for a decline may not be disclosed to you.
Security. You are responsible for your device passcode, your credentials, and everything that happens through your account. Notify us immediately at support@qubeus.com or 631-693-9490 if you suspect unauthorized access.
Accuracy of instructions. You are responsible for the accuracy of every Transfer instruction, including the recipient identifier, the blockchain address, the bank account details, and the amount. We execute what you submit. We do not verify that a recipient is who you believe they are.
6. License to use the App
Subject to these Terms, Qube grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the App on an Apple-branded device that you own or control, as permitted by the Apple Media Services Terms of Service Usage Rules. This license is granted to you, not sold.
You may not:
- copy, modify, adapt, translate, or create derivative works of the App
- reverse engineer, decompile, or disassemble the App, except where that restriction is prohibited by applicable law
- remove or obscure proprietary notices
- rent, lease, lend, sell, redistribute, or sublicense the App
- circumvent or attempt to circumvent security, attestation, rate limiting, or geofencing controls
- run the App on a jailbroken, rooted, emulated, or tampered device
- use automated means to access the Services
- use the Services to build a competing product
Qube reserves all rights not expressly granted.
7. Digital Asset onboarding
The App lets you bring Digital Assets into the Services. When you do:
- You warrant that you own the assets and that they are not derived from unlawful activity
- Deposits are credited only after the network confirmations we require
- We may reject, delay, or return any deposit for compliance, risk, or operational reasons
- Sending an unsupported asset, or sending a supported asset on an unsupported network, will likely result in permanent loss, and we have no obligation to recover it
- Conversion rates, spreads, and slippage apply and are disclosed before you confirm
8. Fiat payout
The App lets you receive United States dollars in a bank account you designate.
- The destination account must be in your name at a United States financial institution
- Payout timing depends on the settlement rail, the receiving institution, and cut-off times, and is not guaranteed
- Payouts may be delayed or held for compliance review
- If your destination details are wrong, funds may be lost or may be returned net of fees, and recovery is not guaranteed
9. Transfers are United States to United States only
At launch, the Services support Transfers where both the sender and the recipient are in the United States. Do not attempt to use the Services to send value outside the United States. Doing so is a material breach and may result in immediate suspension.
10. Fees
Fees are disclosed in the App before you confirm a Transfer and are published at https://www.qubeus.com/pricing. Fees may include a Qube service fee, a Bridge processing fee, network or gas fees, and a spread on conversion between a Digital Asset and United States dollars. The spread is a cost to you even when it is not itemized as a fee.
Third parties, including your bank, may charge you separately. We do not control those.
We may change fees on notice as required by law. Continued use after a change means you accept it.
11. Taxes
You are solely responsible for determining and paying any taxes arising from your use of the Services, and for your own reporting. Qube does not provide tax advice. We may issue information returns where required and may request a Form W-9 or other tax documentation.
12. Communications and electronic records
You consent to receive all communications electronically, including agreements, disclosures, notices, receipts, and changes to these Terms, at the email address and phone number on your account and through in-app notifications. To receive and retain electronic records you need a device with internet access, a current operating system and browser, and the ability to view and save PDF files. You may withdraw consent by closing your account. Withdrawing consent means we cannot provide the Services.
You consent to receive service-related SMS and push notifications. Marketing messages require separate opt-in and can be turned off at any time.
13. Irreversibility
This is the section people ignore and then dispute.
- Blockchain transactions are final once confirmed. They cannot be reversed, cancelled, or refunded by Qube, by Bridge, or by any court.
- Funds sent to an incorrect or unsupported address are typically permanently lost.
- There are no chargebacks on Digital Asset transactions.
- Once you confirm a Transfer, you cannot cancel it.
- If you are the victim of fraud, a scam, or social engineering, we will assist an investigation where we can, but we cannot recover your funds and we are not liable for their loss.
Fraud warning. Criminals impersonate family members, government agencies, technical support staff, and law enforcement, and pressure victims into sending digital assets urgently. Legitimate government agencies never demand payment in digital assets. If a transaction feels urgent, secret, or coerced, stop and contact us at 631-693-9490.
14. Risk disclosures
You acknowledge and accept that:
- Digital Assets are not legal tender in the United States, are not backed by the United States government, and account balances and value balances are not subject to FDIC, NCUA, or SIPC protection
- Legislative and regulatory changes at the state, federal, or international level may adversely affect the value or availability of Digital Assets
- Transactions in Digital Assets may be irreversible, and losses due to fraudulent or accidental transactions may not be recoverable
- Some Digital Asset transactions are deemed complete when recorded on a public ledger, which may not be the date or time you initiated the transaction
- The value of a Digital Asset derives from the continued willingness of market participants to exchange fiat currency for it, which can result in permanent and total loss of value if that market declines or collapses
- Any surety bond maintained by a licensee for the benefit of customers may not be sufficient to cover all losses
- You should conduct your own research before acquiring or holding Digital Assets
- Stablecoins may lose their peg. A stablecoin is not a dollar and carries issuer, reserve, and redemption risk
- Blockchain networks may experience congestion, forks, reorganizations, or failure, and smart contracts may contain defects
State-specific mandatory disclosures appear in Appendix B and are incorporated here.
15. Prohibited uses
You may not use the Services to:
- violate any law, rule, or regulation
- launder money, finance terrorism, or evade sanctions
- transact with any person or jurisdiction subject to OFAC sanctions
- facilitate fraud, theft, extortion, ransomware, or any scam
- purchase or sell controlled substances, weapons, stolen goods, counterfeit goods, or child sexual abuse material
- conduct unlicensed money transmission, operate a money services business, or transmit on behalf of third parties
- gamble where prohibited, or facilitate prohibited gambling
- structure transactions to evade reporting thresholds
- use another person’s identity, or allow another person to use your account
- interfere with the Services, probe them for vulnerabilities, or introduce malicious code
We monitor for these activities and report as legally required. We are not obligated to notify you before reporting, and in many cases we are legally prohibited from doing so.
16. Suspension, freezing, and termination
We or Bridge may suspend, restrict, freeze, or terminate your account or any Transfer, with or without notice, if:
- we suspect fraud, unauthorized access, or prohibited use
- verification cannot be completed or is subsequently invalidated
- required by law, regulation, court order, or a request from law enforcement or a regulator
- you breach these Terms or Bridge’s terms
- your jurisdiction becomes unsupported
- your account is dormant, or we discontinue the Services
Effect of termination. The license in Section 6 ends and you must delete the App. Sections that by their nature survive, including Sections 13, 14, 17, 22, 23, 24, 25, 26, and 27, survive.
Your funds. Handling of any remaining balance is governed by Bridge’s terms. Where funds remain unclaimed for the period prescribed by applicable state unclaimed property law, they may be escheated to the state.
Closing your account. You may close your account at any time via the App or by contacting support@qubeus.com. Closure does not delete records we are required to retain. See the Privacy Policy, Section 10.
17. Errors and unauthorized transactions
Report any error, discrepancy, or unauthorized activity to support@qubeus.com or 631-693-9490 promptly, and in no event later than [DECIDE: 60 days] after the item appears in your history. Delay may limit your ability to obtain relief.
UNRESOLVED, do not publish as-is. Whether the Electronic Fund Transfer Act and Regulation E (12 CFR Part 1005, Subpart A) apply to the fiat leg is a legal question with real consequences. If Regulation E applies, this section is not adequate: Regulation E mandates specific error-resolution procedures, specific investigation timelines (10 business days, extendable to 45), provisional credit obligations, liability caps tied to how quickly you report, and a prescribed initial disclosure. A shorter contractual reporting window cannot override those rights. Counsel must resolve this before launch. The Remittance Transfer Rule (Regulation E, Subpart B) is likely out of scope because Transfers are domestic, but that stops being true the moment an international corridor opens.
18. Third-party services
The Services depend on third parties including Bridge, identity verification vendors, banking partners, blockchain networks, and Apple. We are not responsible for their acts, omissions, outages, or decisions, including a decision to decline your verification or to freeze funds. Your relationship with those parties is governed by their own terms.
19. Intellectual property
The App, the Qube name and marks, and all associated software, designs, and content are owned by Qube or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers ownership to you.
Feedback. If you send us suggestions, we may use them without restriction, obligation, or compensation to you.
20. Changes to the Services and these Terms
We may modify, suspend, or discontinue any part of the Services at any time. We may update these Terms by posting a revised version and updating the effective date. For material changes we will provide at least [DECIDE: 10 or 30] days’ notice in the App or by email. Continued use after the effective date means you accept the change. If you do not accept, stop using the Services and close your account.
21. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUBE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY TRANSFER WILL COMPLETE WITHIN ANY PARTICULAR TIME.
Some states do not allow the exclusion of implied warranties, so some exclusions may not apply to you.
22. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUBE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST DIGITAL ASSETS, OR LOSS OF VALUE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.
QUBE’S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID QUBE IN THE [DECIDE: 6 or 12] MONTHS BEFORE THE EVENT, OR (B) [DECIDE: USD 100].
These limits apply to the fullest extent permitted by law. Some states do not allow certain limitations, so parts may not apply to you.
23. Indemnification
You will indemnify and hold harmless Qube and its officers, directors, employees, and agents from any claim, loss, liability, damage, cost, or expense (including reasonable legal fees) arising from your use of the Services, your breach of these Terms, your violation of law, or your infringement of any third party’s rights.
24. Dispute resolution, arbitration, and class action waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
24.1 Informal resolution first
Before starting arbitration, you agree to contact legal@qubeus.com with a written description of the dispute and the relief sought, and to work with us in good faith for 60 days. This is a precondition to arbitration.
24.2 Agreement to arbitrate
Except as provided below, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by [DECIDE: the American Arbitration Association under its Consumer Arbitration Rules], and not in court. The Federal Arbitration Act governs this section.
24.3 Exceptions
Either party may bring an individual claim in small claims court. Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.
24.4 Class action and jury trial waiver
YOU AND QUBE EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual party seeking it. If this waiver is found unenforceable as to a particular claim, that claim proceeds in court and the rest of this section remains in effect.
24.5 Your right to opt out
You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@qubeus.com with the subject line “Arbitration Opt-Out” and including your name, the email address on your account, and a clear statement that you opt out. Opting out does not affect any other part of these Terms and will not affect your access to the Services.
24.6 Venue and costs
Arbitration will be held in Wilmington, Delaware or by videoconference at your election. [DECIDE: allocation of filing and arbitrator fees. Consumer arbitration rules cap the consumer’s share, and many providers now agree to pay the balance. Mass-arbitration exposure should be modeled before finalizing.]
25. Governing law
These Terms are governed by the laws of Delaware, without regard to conflict of laws principles, except that the Federal Arbitration Act governs Section 24. Where arbitration does not apply, the exclusive venue is the state and federal courts located in Delaware.
Nothing in this section deprives you of the protection of mandatory consumer protection provisions of the law of the state where you reside.
26. Apple-specific terms
These terms are required because the App is distributed through the Apple App Store. Where they conflict with the rest of this agreement, these terms control as between you and Apple.
- This agreement is between you and Qube only, not Apple. Apple is not responsible for the App or its content.
- Scope of license. The license granted in Section 6 is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms of Service, except that the App may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
- Maintenance and support. Qube is solely responsible for maintenance and support. Apple has no obligation whatsoever to furnish any maintenance or support services.
- Warranty. To the extent not effectively disclaimed, Qube is solely responsible for any product warranties. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App.
- Product claims. Qube, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your use of it, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar legislation, including in connection with the App’s use of the HealthKit and HomeKit frameworks.
- Intellectual property claims. In the event of a third-party claim that the App or your use of it infringes intellectual property rights, Qube, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
- Legal compliance. You represent and warrant that you are not located in a country subject to a United States Government embargo or designated as a “terrorist supporting” country, and that you are not listed on any United States Government list of prohibited or restricted parties.
- Contact. Questions, complaints, or claims about the App should be directed to support@qubeus.com, 631-693-9490, 211 Justice Street, West Babylon, NY 11704.
- Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of this agreement and, upon your acceptance, will have the right to enforce it against you as a third-party beneficiary.
27. General
Entire agreement. These Terms, the Privacy Policy, and any in-app disclosures are the entire agreement between you and Qube on this subject, and supersede prior agreements.
Severability. If any provision is unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in effect.
No waiver. Our failure to enforce a provision is not a waiver.
Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including blockchain network failure, banking system outages, regulatory action, natural disaster, or war.
Headings. For convenience only.

Appendix A: Supported states and licensing
Bridge operates under MSB and MTL licenses in 48 US states. Per Bridge’s published licensing page and supported countries documentation:
New York is not supported — Bridge notes that wallet services will be available to NY users “pending NY Trust” charter approval.
Florida and Louisiana ARE supported — Bridge confirmed these states are now available for both businesses and individuals.
California IS supported.
Bridge publishes its United States licenses at https://www.bridge.xyz/legal/licenses/us-licenses-and-registrations. The supported countries documentation is at https://apidocs.bridge.xyz/platform/customers/compliance/supported-countries-list.
Key restriction: Bridge’s Virginia money transmitter license expressly does not cover the transmission of virtual currency. If Qube’s crypto onboarding leg runs through that license, Virginia is fiat-only.
Appendix B: State-mandated disclosures
Reproduced or adapted from Bridge’s published license page. Verify each against the current source and against Bridge’s agent requirements before publishing. Several of these are prescribed by statute and the wording is not freely editable.
Connecticut. WARNING: LOSSES DUE TO FRAUDULENT OR ACCIDENTAL TRANSACTIONS MAY NOT BE RECOVERABLE AND TRANSACTIONS IN VIRTUAL CURRENCY ARE IRREVERSIBLE. Virtual currency is not backed or insured by the government, and accounts and value balances are not subject to FDIC, NCUA, or SIPC protections. Some virtual currency transactions are deemed made when recorded on a public ledger, which may not be when the customer initiates the transaction. The value of virtual currency may be derived from the continued willingness of market participants to exchange fiat for it, which may result in permanent and total loss of value. Volatility may result in significant loss over a short period. Any bond maintained by a licensee may not be sufficient to cover all losses. Virtual currency transactions are irreversible and are used by persons seeking to defraud customers, including by impersonating a loved one, threatening jail time, claiming identity theft, insisting the customer withdraw money and purchase cryptocurrency, or alleging the customer’s computer has been hacked.
Florida. By granting a license, the Florida Office of Financial Regulation is not endorsing the use of digital or virtual currencies. United States currency is legal tender backed by the United States government. Digital and virtual currencies are not issued or backed by the United States government and have fewer regulatory protections. Their value derives from global supply and demand and can rise or fall independently of any fiat currency. Holding them carries exchange rate and other risks. Users should be forewarned of possible financial loss at the time of exchange due to an unfavorable rate. A favorable rate can result in a tax liability. Consult your tax advisor.
Louisiana. The eight statutory virtual currency disclosures are reproduced in Section 14 of these Terms.
Minnesota. Virtual currency transactions may occur promptly after execution. You may not be able to obtain a refund, even in cases of suspected fraud, except in limited circumstances. Report suspected fraud to Bridge at (888) 523-6133.
North Dakota and Rhode Island. Virtual currency is not legal tender in the United States, is not backed by the United States government, and accounts and value balances are not subject to FDIC or SIPC protections.
Complaint routing. Multiple states (Arizona, Arkansas, District of Columbia, Florida, Illinois, Kansas, Maine, Maryland, Mississippi, North Dakota) prescribe specific complaint escalation language and agency contact details. Qube surfaces these as Bridge’s agent. The full text is on Bridge’s license page.
Virginia. Bridge Building Inc. is licensed by the Virginia State Corporation Commission as a money transmitter, but such license does not cover the transmission of virtual currency.
